Terms and Conditions for Forge Athlete Branding Referral Partners
This Referral Partner Agreement ("Agreement") is entered into as of the date of execution below, by and between Forge Athlete Branding LLC ("Forge"), and the undersigned individual or entity ("Referral Partner").
Forge provides athlete branding, recruiting education, mentorship, and NIL-readiness services. Referral Partner desires to refer potential clients to Forge in exchange for a referral commission, subject to the terms of this Agreement.
Referral Partner is not authorized to sell Forge services, negotiate on Forge's behalf, or bind Forge in any manner.
Referral Partner is an independent contractor, not an employee, partner, agent, or joint venturer of Forge. Nothing in this Agreement shall be construed to create an employment relationship.
Referral Partner is solely responsible for all federal, state, and local taxes related to any compensation received under this Agreement.

Referral Partner shall receive a 15% commission on the initial paid Forge service package for each referred client who enrolls and completes payment.
Referrals must be clearly identified at the time of intake through Forge's referral process. Forge's internal records shall govern referral attribution.
This Agreement is non-exclusive. Forge may engage other referral partners, and Referral Partner may refer athletes to other services.
Referral Partner agrees to keep confidential any non-public business information, pricing, processes, or materials disclosed by Forge.
Referral Partner agrees to conduct themselves in a professional, ethical, and lawful manner. Any conduct that damages Forge's reputation or violates applicable laws or athletic compliance rules shall be grounds for immediate termination.
This Agreement shall commence on the effective date and continue until terminated.
Either party may terminate this Agreement at any time, with or without cause, upon written notice. No commissions shall be owed for referrals submitted after termination.
Referral Partner has no authority to bind Forge, incur obligations, or make representations beyond those expressly permitted in this Agreement.
Referral Partner agrees to indemnify and hold harmless Forge from any claims, damages, or liabilities arising from Referral Partner's actions, representations, or violations of this Agreement.
This Agreement shall be governed by and construed in accordance with the laws of the state in which Forge Athlete Branding LLC is registered.
This Agreement constitutes the entire understanding between the parties and supersedes all prior discussions or agreements. Any modifications must be in writing and signed by both parties.
